These Terms of Service ("Terms") govern your access to the TTSOFT website and your use of our software consulting, design, development, maintenance, and related services. By using our website or engaging our services, you agree to these Terms.
1. Services and project agreements
The specific scope, deliverables, schedule, fees, responsibilities, and acceptance criteria for a project will be described in a proposal, statement of work, order form, or other written agreement. If that agreement conflicts with these Terms, the project-specific agreement will control.
2. Your responsibilities
You agree to provide accurate information, timely feedback, required access, content, and decisions necessary for us to perform the services. You confirm that you have the rights and permissions needed for all materials you provide to us.
3. Fees and payment
You agree to pay all fees and applicable taxes according to the relevant invoice or project agreement. Unless otherwise agreed in writing, invoices are due by the date stated on the invoice. Late payment may result in paused work, delayed delivery, or reasonable collection costs.
4. Changes and delays
Requests outside the agreed scope may require a revised estimate, schedule, or separate change order. We are not responsible for delays caused by late feedback, unavailable access, changes in requirements, third-party services, or events beyond our reasonable control.
5. Intellectual property
Each party retains ownership of materials, tools, code, trademarks, and other intellectual property it owned before the project. Subject to full payment, ownership or licence rights for project deliverables will be as stated in the applicable project agreement. We retain rights in our general knowledge, reusable tools, methods, and non-client-specific components.
6. Confidentiality
Each party will use reasonable care to protect confidential information received from the other party and will use it only to perform or receive the services. This obligation does not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
7. Acceptable use
You may not use our website or services to break the law, infringe intellectual property or privacy rights, distribute malicious code, disrupt systems, gain unauthorised access, or harm other people or organisations.
8. Third-party services
Projects may rely on third-party platforms, software, APIs, hosting, or open-source components. Those products are governed by their own terms and may change or become unavailable. We are not responsible for third-party products outside our control.
9. Warranties and disclaimers
We will perform our services with reasonable care and skill. Except for warranties expressly stated in a written agreement or required by law, the website and services are provided “as is” and “as available.” We do not guarantee uninterrupted operation or that every defect or security risk can be eliminated.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, revenue, data, or business opportunities. Any aggregate liability will be limited as set out in the applicable project agreement or, if none is stated, to the fees paid for the affected services.
11. Termination
Either party may terminate services as allowed by the applicable project agreement. On termination, you must pay for work completed and non-cancellable commitments incurred through the termination date. Provisions intended by their nature to survive termination will remain effective.
12. Governing law
Unless a project agreement states otherwise, these Terms are governed by the laws of Vietnam. The parties will first attempt to resolve disputes in good faith before pursuing formal remedies in a court of competent jurisdiction.
13. Changes to these Terms
We may revise these Terms from time to time. Updated Terms become effective when posted on this page, unless a later date is stated.
